Terms and Conditions
These terms govern the purchase and use of software licences sold by New Habits E.r.a.r., established in Camino del Mar, 47 - 4B, 38390, Santa Ursula, Santa Cruz de Tenerife — Canary Islands, Spain. By completing checkout you accept them and the Software Usage Rules, which form part of this contract.
1. Who we are
The seller is established in the Canary Islands (Spain). The Canary Islands are outside the European Union VAT territory. Checkout may therefore show no EU VAT. IGIC may apply if the buyer is established in the Canary Islands. Contact: hello@emyneo.com.
2. What you buy
You buy a non-exclusive, non-transferable licence to use the software (currently Emyneo) for the term, site slots, credits and AI balance of the plan or pack chosen at checkout. You do not buy ownership of the source code, trademarks, models, servers or documentation.
This is a digital service. Delivery starts when the licence key is issued and the customer area is created.
3. Licence grant
The key is personal to the paying account. You may install and run the software only on the number of websites included in your plan, and only for your own sites or sites you operate for a client under a genuine service contract. You may not sublicense, rent, publish or resell the key, credits, AI balance or access.
4. Software usage rules
Use is also governed by the Software Usage Rules. In short: every activation on a different site counts as one use of the key; the limit is the greater of your plan slots and 3 uses; going over that limit blocks the key automatically and you must write to hello@emyneo.com to request an unlock.
5. Updates, AI and availability
While the licence is active we provide private updates and, where included, Managed AI through our infrastructure. We do not guarantee uninterrupted service. Maintenance, provider outages (including OpenAI) or abuse prevention may interrupt features. Credits and AI already consumed are not restored for those interruptions unless we decide otherwise.
6. Prices, taxes and renewals
Prices are those shown at checkout, including any tax displayed there. Recurring plans renew until you cancel. Coupons apply only if valid and not exhausted. We may change list prices for future periods; a locked price on your licence, if any, applies only as recorded on that licence.
7. 14-day withdrawal
If you are a consumer you may withdraw within 14 days of purchase without giving a reason, as explained on the Right of Withdrawal page.
The refund is net of the cost of credits and AI already used. Unused balances are cancelled.
A withdrawal in the first 14 days is refunded net of credits and AI already used. Formula:
refund = amount paid − (credits used × unit credit cost) − AI used in euros
Example pack: 150 credits + 5.00 EUR of AI for 25.00 EUR:
- Credit portion of the price: 25.00 EUR − 5.00 EUR = 20.00 EUR
- Cost of 1 credit: 20.00 / 150 = 0.1333 EUR
- If you used 30 credits and 2.00 EUR of AI: 30 × 0.1333 EUR = 4.00 EUR
- Refund: 25.00 − 4.00 − 2.00 = 19.00 EUR
Unused credits and AI are cancelled with the licence. Any refund due is paid manually to the original payment method after we verify usage.
8. Suspension, block and termination
We may suspend, block or delete a key or an activation in case of unpaid amounts, sharing, cloning, abnormal use, security risk or any breach of these terms or the Usage Rules. The customer area shows the status. Unlock requests go to hello@emyneo.com. Orders and invoices remain as accounting records.
9. Liability
The software is provided for professional use. To the extent permitted by applicable law we are not liable for lost profits, lost data, SEO ranking changes or indirect damage. Nothing in these terms limits liability that cannot be limited (including fraud or mandatory consumer rights).
10. Privacy
Personal data is processed as described in the Privacy Policy.
11. Law and venue
These terms are governed by the laws applicable to a seller established in the Canary Islands, Spain. Mandatory consumer protections of your country of residence still apply if you are a consumer. Disputes that cannot be resolved with hello@emyneo.com may be brought before the competent courts for the seller’s seat, unless a mandatory rule gives you another forum.
